Degú Terms and Conditions

Version of October 22, 2026 · Versión en español · Privacy Policy ·

This version was replaced on October 29, 2026. The current one is at Terms and Conditions.

The essentials

This summary is here to help, but it does not replace the full text, which is what governs. The Spanish version prevails if the two differ (section 21.9).

  • Degú is a service of Prohack SpA, a Chilean company. It is designed for businesses and professionals.
  • Your content remains yours. We use it only to provide the service: we do not sell it or use it to train artificial intelligence models.
  • Artificial intelligence can make mistakes. Review results before using them. Drawings, models and calculations must be reviewed and approved by a competent professional before they are issued or built.
  • Plans are paid in advance. You can cancel at any time and the service continues until the end of the paid period. You have 10 days after purchasing a plan to withdraw, with a refund of the unused portion.
  • If something goes wrong, our liability is capped, except where the law does not allow it to be limited.
  • We will give you at least 30 days' notice of important changes to these terms and of any price increase.
  • Chilean law governs. Customers outside Chile have specific rules in section 20.

1. Who we are and what these Terms govern

1.1. Degú is operated by Prohack SpA, Chilean tax ID (RUT) 78.041.671-8, with its address at Carmencita 25, office 72, Las Condes, Santiago, Chile ("Prohack"). Contact: soporte@prohack.cl.

1.2. These Terms and Conditions (the "Terms") govern access to and use of Degú, including the web application, the desktop and mobile applications, the agents installed on the Customer's network, the programming interfaces, the integrations, the documentation and support (together, the "Service").

1.3. Annex A (Personal data processing), Annex B (Acceptable use policy) and any Order accepted by the parties form part of these Terms. The Privacy Policy explains how Prohack processes the personal data for which it is the controller, such as registration and billing data.

1.4. If the Customer and Prohack have signed a contract or an Order with different terms, that document prevails on the matters it expressly governs. Annex A prevails on matters of personal data.

2. Definitions

Capitalized terms have the following meanings:

3. Acceptance and accounts

3.1. Acceptance. The contract is formed when the Customer accepts these Terms electronically (for example, by ticking the acceptance box when creating its Account) or signs an Order that incorporates them. Electronic acceptance has the same effect as a signature under Chilean Law No. 19,799. Before accepting, the Customer can read, download and print these Terms; afterwards, it receives an email confirmation with a full copy of the accepted version. If it does not receive it, it can request it from soporte@prohack.cl.

3.2. Authority. Anyone accepting on behalf of an organization represents that they have authority to bind it. If they do not, they must not accept. The organization's payment for a Plan, or its use of the Service with the knowledge of those who represent it, ratifies that acceptance.

3.3. Age. Users must be at least 18 years old, or the age of majority in their country if higher.

3.4. Professional use. The Service is designed for professional and business use. Personal Accounts may be used for personal purposes; if the Customer is a consumer under the law that applies to it, the corresponding protection rules also apply (section 20).

3.5. Organization accounts. They are created with a corporate email address and, as a rule, each company has a single Account tied to its domain. Administrators invite and remove Users, assign roles, decide which sources and features are available, and can view the Account's activity log.

3.6. Credentials. Credentials are personal and non-transferable. The Customer must keep them confidential, use the available security mechanisms and notify Prohack immediately of any unauthorized access. The Customer is responsible for activity carried out with its Users' credentials, unless it results from a breach by Prohack.

3.7. Responsibility for Users. The Customer is responsible for its Users' compliance with these Terms, and for the permission settings it configures in the Service and in its Connected Sources.

3.8. Accurate information. The Customer must provide true, complete and up-to-date registration and billing information.

4. The Service

4.1. What it does. Degú connects, organizes and queries the Customer's knowledge (documents, data and systems) and generates Outputs with references to their sources. Depending on how the Customer configures it, it also answers with general knowledge and with information from the web; both options are on by default and the Customer can turn them off. It includes agents that, when a User requests or authorizes it, carry out actions such as creating documents, organizing files, building dashboards or generating drawings and models.

4.2. Changes to the Service. Prohack continuously improves the Service and may add, modify or remove features. If it removes or substantially limits an essential feature of the Customer's paid Plan, it will give at least 30 days' notice, and the Customer may terminate the contract and receive a pro-rata refund of the amount paid for the unused period.

4.3. Artificial intelligence models. The Service uses third-party artificial intelligence models offered through Amazon Bedrock, from developers such as Anthropic, Amazon, Cohere and OpenAI and, to create images and videos, Stability AI and Luma AI, and may change them to maintain the quality, cost or availability of the Service. The voice that narrates videos is generated by Amazon Polly. These models run on Amazon Web Services infrastructure: their developers do not receive Customer Content or use it to train models.

4.4. Beta Features. Beta Features are offered for testing, may change or end without notice, may have limits and are not covered by availability commitments. Their use is optional and they must not be used for critical purposes. This does not alter the commitments of a paid Plan or the Customer's non-waivable rights: when a Beta Feature is how the Customer uses the Service it paid for (for example, the mobile app on a personal Account), sections 4.2 and 10.7 apply to it.

4.5. Availability and support. Prohack makes commercially reasonable efforts to keep the Service available and gives advance notice of scheduled maintenance. The Service depends on the internet and on infrastructure providers, so uninterrupted operation is not guaranteed. Support is provided by email at soporte@prohack.cl on Chilean business days. Guaranteed availability or support levels exist only if an Order sets them.

5. Installable Software

5.1. License. While the contract is in force, Prohack grants the Customer and its Users a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to install and use the Installable Software solely to access the Service.

5.2. Updates. The Installable Software may update automatically to fix errors, improve security or maintain compatibility. Older versions may stop working.

5.3. Device permissions. The Installable Software accesses folders, files, the microphone, notifications or other resources only with the permissions the User grants in their operating system, and the User may revoke them at any time.

5.4. Open source. The Installable Software may include open-source components subject to their own licenses. Nothing in these Terms limits the rights those licenses grant.

5.5. App stores. If the Installable Software is downloaded from an app store, that store's terms and section 20.6 also apply.

6. Connected Sources, Third-Party Services and agent actions

6.1. Authorization. By connecting a Source or enabling a Third-Party Service, the Customer represents that the person doing so is authorized to do it, and authorizes Prohack to access that source or service and to exchange with it the Content needed to provide the Service, within the permissions granted.

6.2. Source permissions. The Service respects the permissions of the original source: a User only obtains Outputs based on content they can access under those permissions and the Account settings. If content is shared at the source with more people than it should be, the Service will reflect that access; correcting it is the Customer's responsibility.

6.3. Disconnecting and deleting. The Customer may disconnect a source at any time. Disconnecting it cuts off access; deleting it together with its data also erases the indexed content and everything derived from it, as described in the Privacy Policy.

6.4. Agent actions. Some features can create, modify, move or delete files (on the User's device or in connected systems) when the User requests or authorizes it. The User must review what the Service proposes before approving it when asked, and the Customer must keep backups of its information. On the User's device, deletions are sent to the system trash when available. Prohack is liable for failures of the Service under sections 15 and 16, but not for the consequences of actions carried out as the User requested or authorized.

6.5. Third-Party Services. Third-Party Services are governed by their own terms and policies, which the Customer must comply with. Prohack does not control and is not responsible for their availability, security or data processing. If a Third-Party Service becomes unavailable or changes its terms, Prohack may stop offering the corresponding integration.

7. Customer Content, Outputs and Usage Data

7.1. Ownership. The Customer retains all its rights in Customer Content. Prohack acquires no ownership of it.

7.2. License to provide the Service. The Customer grants Prohack a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit and display Customer Content, only to the extent necessary to provide, maintain, protect and support the Service in accordance with Annex A, and to comply with the law. The license ends when the Content is deleted under section 14.5.

7.3. No training. Prohack does not use Customer Content to train or fine-tune artificial intelligence models, its own or third parties', and requires the same of its providers. The only exception is where the Customer requests or authorizes it in writing for a model for its exclusive use.

7.4. Outputs. As between Prohack and the Customer, Outputs belong to the Customer, and Prohack assigns to it any rights it may have in them. Due to the nature of artificial intelligence, other customers may obtain similar outputs, and Prohack does not warrant that Outputs are unique or that they can be protected by intellectual property.

7.5. Customer representations. The Customer represents that it has the rights, authorizations and legal bases required (including those required by Data Protection Law) to upload and connect Customer Content and for Prohack to process it under these Terms, and that such use does not infringe third-party rights.

7.6. Usage Data. Prohack may use Usage Data to operate, bill, protect, support and improve the Service, and may publish aggregated statistics that do not identify the Customer or any person.

7.7. Feedback. If the Customer sends suggestions or comments about the Service, Prohack may use them freely and without any obligation. This does not include Customer Content.

7.8. Content shared within the Account. Skills, dashboards and other items that Users create and share within the Account are Customer Content. The Customer decides, through the Service settings, who can see them.

8. Limits of artificial intelligence and professional responsibility

8.1. Artificial intelligence can make mistakes. Outputs are generated automatically and may be inaccurate, incomplete, outdated or unsuitable for a specific case, even when they cite sources. They do not replace the judgment of a competent person.

8.2. Human review. Before using an Output or making a decision based on it, the Customer must verify it with care proportionate to its importance, checking it against the original sources. This is especially necessary for figures, dashboards and financial reports, contracts and legal documents, health or safety information, and decisions that affect people.

8.3. Engineering, drawings, models and calculations. The drawings, BIM or IFC models, isometrics, bills of materials, calculation reports, specifications and other technical deliverables that the Service generates are supporting drafts. Before they are issued, submitted to an authority or used to purchase, fabricate, build or operate, they must be reviewed, verified and approved by a competent professional, licensed as required by applicable regulations, who assumes the corresponding technical responsibility. The Service's automated checks (for example, against technical standards) are aids and do not constitute certification, approval or a statement of regulatory compliance. Prohack does not provide engineering services or sign off on projects.

8.4. Reference data. The catalogs, standards and reference data used by the Service may be incomplete or outdated. The Customer must confirm them with the official source or the manufacturer before using them.

8.5. Decisions about people. The Customer must not use the Service to make automated decisions that produce legal effects on a person or significantly affect them (for example, in employment, credit, housing, insurance, health or education) without meaningful human involvement and without complying with applicable law.

8.6. Transparency towards third parties. If the Customer exposes the Service or its Outputs to third parties (for example, when answering through WhatsApp or publishing content), it must tell them that they are interacting with artificial intelligence, or that the content was generated with it, when the law or Annex B requires it. The images and videos the Service creates carry a mark in their metadata stating that they were generated with artificial intelligence; the Customer must not remove it to pass them off as real.

8.7. No professional advice. The Service does not provide legal, financial, tax, medical, engineering or other professional advice.

9. Acceptable use

9.1. The Customer and its Users must use the Service in accordance with the law, these Terms and the Acceptable use policy in Annex B, which incorporates the usage policies of the model providers.

9.2. Prohack may investigate possible violations and, if it confirms them or there is a serious risk, remove the infringing content and suspend or terminate access under section 14.

10. Plans, prices and payments

10.1. Free trial. Prohack may offer a free trial for the period and with the limits it states when the Account is created. The trial requires no payment method and does not turn into a paid Plan unless the Customer purchases one. If the trial expires without the Customer purchasing a Plan, the contract ends and section 14.5 applies: the Content is kept for 30 days (during which the Customer can purchase a Plan and continue without losing anything, or request a copy) and is then deleted within the periods of that section.

10.2. Paid Plans. The price, currency, limits and period of each Plan are disclosed before purchase, on the pricing page, in the checkout or in the Order. Plans are paid in advance and renew automatically for equal periods, unless the Customer cancels before the end of the current period.

10.3. Usage limits. Each Plan has limits, such as users, sources, documents, processed pages, queries or consumption units. When a limit is reached, the Service may restrict the affected features until the next period or until the Customer upgrades its Plan or buys additional capacity. Prohack does not charge for additional consumption the Customer has not accepted in advance.

10.4. Taxes. Prices exclude taxes unless stated otherwise. In Chile, VAT is added and Prohack issues an electronic invoice with the tax information provided by the Customer. When the purchase is processed through Paddle, Paddle determines and collects the applicable taxes (section 20.2). In all other cases, the Customer pays the taxes and withholdings that apply in its country, except those levied on Prohack's income.

10.5. Failed payments. If a payment cannot be collected, Prohack will notify the Customer and keep the Service running for 7 days so it can be settled. If it is not settled, the Service may be suspended until payment, without deleting the Content. If the debt remains unpaid 30 days after the suspension, Prohack may terminate the contract under section 14.

10.6. Price changes. Prohack will give at least 30 days' notice of any price increase. The new price applies from the next renewal and never affects a period already paid. If the Customer does not accept it, it may cancel before the renewal at no cost. For Customers who are consumers or micro or small businesses, the new price applies only if they expressly accept it; if they do not, the Plan does not renew and the contract ends at the end of the paid period, at no cost.

10.7. Cancellation. The Customer may cancel its Plan at any time from the Service or by writing to soporte@prohack.cl. Cancellation takes effect at the end of the paid period; until then, the Service keeps working. Cancelling is free of charge.

10.8. Refund policy

11. Confidentiality

11.1. "Confidential Information" is non-public information that one party provides to the other in connection with the contract and that should reasonably be understood as confidential. Customer Content is the Customer's Confidential Information; Prohack's non-public technology and non-public commercial terms are Prohack's Confidential Information.

11.2. The recipient of Confidential Information must use it only to perform the contract, protect it with at least the same care it uses for its own (and never less than reasonable care), and disclose it only to personnel and providers who need it and are bound by confidentiality obligations.

11.3. Confidential Information does not include information that is already public through no fault of the recipient, that the recipient already knew or lawfully receives from a third party without a confidentiality obligation, or that it develops independently.

11.4. If the law or an authority requires disclosure of Confidential Information, the recipient will notify the other party in advance, where legally permitted, and will disclose only what is required.

11.5. These obligations apply while the contract is in force and for five years afterwards. For Customer Content and trade secrets, they apply for as long as they keep that character.

11.6. Prohack personnel access Customer Content only when necessary to address a security issue, comply with the law or provide support that the Customer has expressly requested or authorized.

12. Security and personal data

12.1. Security measures. Prohack applies technical and organizational measures appropriate to the risk to protect Customer Content, described in Annex A, such as encryption in transit and at rest, isolation between organizations, access control, audit logs and backups.

12.2. Incidents. If Prohack becomes aware of a security incident that affects, or may reasonably have affected, Customer Content, it will notify the Customer without undue delay and, in any event, within 48 hours of becoming aware of it, even if the investigation is still ongoing. The notice will include the information available so that the Customer can meet its own obligations, will be supplemented as more becomes available, and Prohack will cooperate to contain and remediate the incident.

12.3. Roles. For Personal Data contained in Customer Content, the Customer is the controller and Prohack is its processor, under Annex A. For the registration, billing and usage data of the Account, Prohack is the controller under the Privacy Policy.

12.4. Customer responsibilities. The Customer must properly configure its Users' access and its sources' permissions, connect only the data needed for its purposes, and refrain from connecting sensitive personal data or data about children and adolescents, unless it is necessary and has a legal basis.

13. Prohack's intellectual property

13.1. The Service, the Installable Software, the Degú brand, Prohack's own tools and instructions, the documentation and all their improvements belong to Prohack or its licensors. These Terms transfer none of those rights: they only grant the right of use described here.

13.2. The Customer may not, and may not allow others to: (a) copy or modify the Service or create derivative works of it; (b) decompile or reverse engineer it, except to the extent the law expressly permits; (c) resell, rent, sublicense or provide it to third parties outside its organization, unless agreed in writing; (d) use the Service or its Outputs to develop a competing product or to train models that compete with the Service or with the models it uses; (e) circumvent its limits, access controls or security measures; (f) extract data from the Service by unauthorized automated means; or (g) remove proprietary notices.

14. Term, suspension and termination

14.1. Term. The contract is effective from acceptance until it ends under this section.

14.2. Termination by the Customer. The Customer may terminate the contract at any time by cancelling its Plan (section 10.7) or closing its Account. It may also terminate it immediately, with a pro-rata refund, if Prohack commits a material breach and fails to cure it within 30 days after notice.

14.3. Termination by Prohack. Prohack may terminate the contract: (a) if the Customer commits a material breach and fails to cure it within 30 days after notice; (b) immediately, if the breach cannot be cured or is a serious violation of Annex B; (c) for non-payment, under section 10.5; or (d) at the end of a billing period, with at least 60 days' notice, or if it discontinues the Service generally, with at least 90 days' notice. In case (d), it will refund the amount paid for the unused period. For Customers who are consumers or micro or small businesses, letter (d) only operates at the end of the paid period; if Prohack stops providing the Service earlier, in addition to refunding the amount paid for the unused period, it is liable for damages under the law.

14.4. Suspension. Prohack may suspend access in whole or in part when necessary to prevent harm: in the event of a risk to the security or integrity of the Service or of third parties, a violation of Annex B, an order from an authority, or a payment that remains unpaid after the grace period. The suspension will be limited to what is necessary, notified in advance where possible (or, otherwise, as soon as it happens) and lifted once the cause is gone.

14.5. Effects of termination. When the contract ends: (a) access to the Service ceases; (b) for the following 30 days, the Customer may request a copy of its Content in commonly used formats; (c) after that period, Prohack deletes Customer Content (including indexes, summaries, derived data and connection credentials) within the following 60 days; if the Customer asks for deletion at any time, Prohack does so within 30 days of the request. In both cases, unless the law requires it to retain something, and encrypted backups are deleted in their normal rotation cycle; (d) Prohack's security logs (system access and operations), the record of the acceptance of these Terms and billing documents are kept for the periods set out in the Privacy Policy and the law, and the Account activity log is deleted with the Content; and (e) amounts already accrued remain payable.

14.6. Survival. Sections that by their nature should survive remain in force after termination, such as those on confidentiality, intellectual property, limitation of liability, indemnity and governing law.

15. Warranties

15.1. Prohack warrants that: (a) it will provide the Service with the diligence of a professional provider and substantially in accordance with its description and documentation; (b) it will not materially reduce the security of the Service during a paid period; and (c) the Installable Software will not, when delivered, contain knowingly introduced malicious code.

15.2. If the Service does not meet these warranties, the Customer must notify Prohack, which will correct it. If Prohack cannot correct it within a reasonable time, the Customer may terminate the contract and receive a pro-rata refund of the amount paid for the unused period. This does not exclude other rights granted by law that cannot be waived.

15.3. Except as stated above, and to the extent permitted by law, the Service and the Outputs are provided "as is" and "as available". Prohack does not warrant that Outputs are accurate or complete, that the Service will operate without interruptions or errors, or that it will be fit for a particular purpose or achieve a specific business result.

15.4. Free trials and Beta Features are provided without warranties, except as stated in section 4.4 for paid Plans and for the rights the law does not allow to be excluded.

16. Limitation of liability

16.1. Excluded damages. Neither party is liable to the other for loss of profits, revenue, business, goodwill or opportunities, reputational harm, or indirect or unforeseeable damages, even if it was advised of their possibility.

16.2. Cap. Each party's total liability for all claims arising out of or relating to the contract will not exceed the greater of: (a) the amounts paid or payable by the Customer to Prohack for the Service during the 12 months before the event giving rise to the claim, or (b) the equivalent of 100 United States dollars.

16.3. Exceptions. The limits in this section do not apply to: (a) willful misconduct (dolo) or gross negligence; (b) the Customer's payment obligations; (c) violations of Annex B or of the other party's intellectual property rights; (d) the indemnity obligation in section 17, except as provided in section 17.3; or (e) liability that the law does not allow to be limited, including the non-waivable rights of consumers and of micro and small enterprises.

16.4. These limits reflect a reasonable allocation of risk, which was taken into account in setting the price of the Service.

17. Indemnity

17.1. The Customer will defend Prohack and hold it harmless from third-party claims (including damages, costs and reasonable defense expenses) arising from: (a) Customer Content or its processing in accordance with the Customer's instructions; (b) use of the Service in breach of these Terms or the law; or (c) use of Outputs without the review required in section 8. It does not cover claims, or the part of them, caused by Prohack's breach of these Terms or of the law.

17.2. Prohack must notify the Customer of the claim promptly, allow it to control the defense and cooperate reasonably, at the Customer's expense. The Customer may not settle a claim that imposes obligations on Prohack without its consent.

17.3. This section does not apply to Customers who are consumers. If the Customer is a micro or small enterprise as defined in Law No. 20,416, its obligation is subject to the cap in section 16.2, except for willful misconduct or gross negligence.

18. Changes to these Terms

18.1. Prohack may amend these Terms to reflect legal, Service or security changes. Each version states its date and remains published in the Service, together with the previous ones.

18.2. Material changes that are detrimental to the Customer will be notified by email to the Administrators and in the Service at least 30 days before they take effect, and the Service will ask for express acceptance. If the Customer does not accept them, it may terminate the contract at no cost before that date and receive the pro-rata refund in section 10.8(c). If it neither accepts them nor terminates the contract, the previous version continues to apply until the end of the current paid period, and Prohack may decline to renew the Plan until the new version is accepted, with the notice in section 14.3(d).

18.3. Only changes that do not reduce the Customer's rights or impose new obligations or costs on it (for example, wording corrections, contact details or new features the Customer may choose not to use), and those required by law or by an authority within a shorter period, take effect upon publication without express acceptance. If in doubt, a change is treated as material and follows section 18.2. For Customers who are consumers or micro or small businesses, no change affecting their rights or obligations takes effect without their express acceptance, except those imposed by law.

19. Governing law and dispute resolution

19.1. These Terms are governed by the laws of the Republic of Chile. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

19.2. Before starting litigation or arbitration, the parties will try in good faith to resolve the dispute for 30 days after one of them raises it in writing. This does not prevent either party from seeking urgent relief from a court.

19.3. Customers in Chile. Disputes are submitted to the ordinary courts of justice of the city and commune of Santiago. This choice of forum does not apply to consumers or to micro and small businesses: the courts set by law apply to them, including the local police court (juzgado de policía local) of their domicile (Law No. 19,496, art. 50 A).

19.4. Customers outside Chile. Disputes will be finally resolved by arbitration under the International Commercial Arbitration Rules of the Arbitration and Mediation Center of the Santiago Chamber of Commerce (CAM Santiago) in force when the arbitration begins, by a sole arbitrator appointed under those rules. The seat will be Santiago, Chile, and the language, the one the parties agree on between Spanish and English or, failing agreement, English. This clause does not prevent either party from seeking interim measures from any competent court, and it does not apply to consumers, who may sue in the courts of their domicile under their law.

20. Country and region terms

20.1. Chile

20.2. Customers outside Chile

20.3. European Union, European Economic Area, United Kingdom and Switzerland

20.4. United States

20.5. Export controls and sanctions

The Customer represents that it is not located in or operating from a country or region subject to comprehensive sanctions or embargoes by the United Nations, the United States, the European Union or the United Kingdom; that it is not on any sanctioned-party list; and that it will not use the Service in breach of those rules or from places where the model providers do not offer their services. Prohack may block access from those places.

20.6. App stores

If the Installable Software is downloaded from Apple's App Store: (a) this contract is between the Customer and Prohack, not with Apple; (b) Apple has no obligation whatsoever to furnish maintenance or support for the app; (c) if the app fails to conform to an applicable warranty, the User may notify Apple, which may refund the purchase price paid to Apple for it, if any, and Apple will have no other warranty obligation; (d) Prohack, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that it fails to conform to legal or regulatory requirements, consumer protection claims, and claims that it infringes third-party intellectual property rights; (e) the User represents that they are not located in a country subject to a United States government embargo and are not on any of its restricted-party lists; (f) the User must comply with applicable third-party terms when using the app; and (g) Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it. If downloaded from Google Play, Google Play's terms also apply.

21. General provisions

21.1. Notices. Prohack will send notices to the Administrators' email addresses and, where appropriate, in the Service. Notices to Prohack must be sent to soporte@prohack.cl. They are deemed received on the business day after they are sent.

21.2. Assignment. The Customer may assign the contract with Prohack's prior written consent, which will not be unreasonably withheld. Prohack may assign it to a company that succeeds it or acquires the Degú business, with notice to the Customer, provided the assignee assumes all of its obligations; if the Customer disagrees, it may terminate the contract with a pro-rata refund.

21.3. Providers. Prohack may use providers and subcontractors to deliver the Service, and is responsible for them as for itself.

21.4. Force majeure. Neither party is liable for failures caused by events beyond its reasonable control, such as natural disasters, widespread internet or infrastructure-provider outages, massive cyberattacks or acts of authority. This does not excuse payment of amounts already accrued. If the situation lasts more than 30 days, either party may terminate the contract with a pro-rata refund.

21.5. Entire agreement. These Terms, with their annexes and the Orders, are the entire agreement on their subject matter and supersede prior agreements on the same subject. Terms included in the Customer's own purchase orders do not apply unless Prohack accepts them in writing.

21.6. Severability. If a clause is held void or unenforceable, the rest remains in force, and that clause will apply to the fullest extent the law permits.

21.7. No waiver. Not exercising a right does not mean waiving it.

21.8. Independent parties. The parties are independent; the contract does not create a partnership, a general agency or an employment relationship between them. There are no third-party beneficiaries, except as provided in section 20.6.

21.9. Language. These Terms are drafted in Spanish, which prevails in the event of any discrepancy. This English version is an official translation provided for ease of reading.

21.10. Customer references. Prohack may name the Customer as a Degú customer, including its name and logo, only with its prior authorization.

21.11. Communications. Prohack sends the communications needed to operate the Service. Promotional communications always include a simple way to stop receiving them.

21.12. Compliance. Each party will comply with the anti-corruption and crime-prevention laws that apply to it, including Chilean Law No. 20,393.

21.13. Evidence. Electronic records of acceptance, use and communications may be used as evidence in accordance with the law.

Annex A: Personal data processing

A.1. Scope. This Annex applies when Prohack processes, on behalf of the Customer, Personal Data contained in Customer Content. The Customer acts as controller (or as processor for another controller) and Prohack acts as processor (under Chilean law, encargado or mandatario; under the CCPA, service provider).

A.2. Details of the processing.

A.3. Prohack's obligations. Prohack:

A.4. Customer's obligations. The Customer warrants that the processing it entrusts is lawful: that it has a legal basis, that it has informed data subjects where required, that its instructions comply with Data Protection Law, and that it connects only the necessary data.

A.5. Security measures. Prohack maintains at least: encryption in transit and at rest; logical isolation between organizations in the database; role-based access control and enforcement of source permissions; encrypted connection credentials; limited and logged staff access; audit logs; backups and restore capability; monitoring and vulnerability management; and periodic review of these measures. Prohack may update them as long as it does not reduce the level of protection.

A.6. Sub-processors. By accepting these Terms, the Customer gives specific written authorization for the sub-processors in section A.8. Prohack imposes on them data protection obligations equivalent to those in this Annex and remains responsible for the processing it delegates to them. To add or replace a sub-processor, Prohack will publish the updated list, give at least 30 days' notice and ask for the Customer's express acceptance in the Service, as with a change to these Terms (section 18.2). Until the Customer accepts, Prohack will not use the new sub-processor to process its Personal Data; if that prevents a feature from working, that feature may become unavailable to the Customer, who may terminate the contract at no cost and with a pro-rata refund.

A.7. International transfers. Customer Content is hosted in the United States, in the us-east-1 region of Amazon Web Services; requests to the models may be processed in other regions of that country. The Customer authorizes those transfers and those needed to use the sub-processors in section A.8. Prohack carries them out with appropriate safeguards, such as its providers' contractual clauses and, where applicable, the standard clauses in section 20.3.

A.8. Authorized sub-processors.

ProviderWhat it doesWhereWhen it is involved
Amazon Web Services, Inc.Hosting, storage, databases, transactional email and artificial intelligence models (Amazon Bedrock), including the creation of images and videos; voice for videos (Amazon Polly); web searchUnited StatesAlways; web search, unless the Customer turns it off

Third-Party Services that the Customer chooses to connect (for example, those of Google, Microsoft or Meta), which act under their own relationship with the Customer, are not sub-processors, nor are payment processors, which process billing data under the Privacy Policy.

A.9. Precedence. On matters of Personal Data, this Annex prevails over the rest of the Terms. If Data Protection Law requires additional clauses, they are deemed incorporated to the extent necessary.

Annex B: Acceptable use policy

B.1. This policy applies to all use of the Service. It incorporates the usage policies of the model and infrastructure providers (the Anthropic Usage Policy, the AWS Acceptable Use Policy and the AWS Responsible AI Policy), in their version in force on the date of these Terms, which the Customer must also respect. If those providers change them and the change restricts the Customer's use, Prohack will give notice and the change will follow the rules of section 18.

B.2. The Service may not be used to:

  1. Commit or facilitate illegal acts, fraud or scams, money laundering, terrorist financing or sanctions evasion.
  2. Infringe third-party rights, such as intellectual property, privacy or trade secret rights, or upload content one has no right to use.
  3. Process Personal Data without a legal basis, unlawfully monitor or profile people, identify them through biometrics without authorization, or infer their sensitive data.
  4. Generate or distribute child sexual abuse material, sexually explicit content, harassment, hate speech, incitement to violence or promotion of self-harm.
  5. Develop weapons (including chemical, biological, radiological, nuclear or explosive weapons), attack critical infrastructure, create malicious code, access systems without authorization, or perform security testing without the system owner's written authorization.
  6. Create disinformation, impersonate others, manipulate electoral processes or send unsolicited mass communications; or create images, videos or voices that show a real, identifiable person doing or saying something they did not do, without their authorization.
  7. Make high-impact automated decisions about people without human review (section 8.5), or carry out practices prohibited by Regulation (EU) 2024/1689 where it applies.
  8. Control physical processes in real time, or serve as a safety component of machinery, plants, vehicles, medical devices or other systems whose failure could harm people or property.
  9. Circumvent limits, access controls or security measures; access or attempt to access other organizations' data; overload the Service; extract data or models by unauthorized automated means; or attempt to obtain the models' internal instructions or components.
  10. Share credentials or resell access without Prohack's written authorization.
  11. Breach the terms of Connected Sources or Third-Party Services, such as the WhatsApp Business policies.

B.3. Permitted high-risk uses. When the Service is used for legal, health, insurance, finance, employment, housing or education matters, or for journalistic content or content that will be published, Outputs must be reviewed by a qualified person before being used, and recipients must be told that artificial intelligence was used where appropriate.

B.4. Reports. Anyone may report misuse to soporte@prohack.cl.

B.5. Consequences. In the event of a violation, Prohack may remove the infringing content, suspend or terminate access (section 14) and inform the authorities when the law requires it.
